Welcome to WaterAnywhere.com (the “Site”). These Terms of Use (“Terms”) govern your access to and use of the Site, including our online store, portals, and digital services. WaterAnywhere is the exclusive authorized distributor of Applied Membranes, Inc. (“AMI”) products. By visiting or using the Site, or by placing an order through the Site, you agree to these Terms. If you do not agree, you may not access or use the Site.
Please read carefully. Among other provisions, these Terms include an arbitration agreement and a class action waiver that affect your rights.
1. Scope; Changes to These Terms

Additional terms may apply to specific services, portals (such as distributor portals), sales, promotions, warranties, or programs. If there is a conflict, those specific terms control with respect to their subject matter.

Quotations: Quotes are valid only for the stated period or 30 days if none is stated. Errors may be corrected by us.

Product and Engineering Data: Typical values may vary. You must verify suitability for your application and maintain proper system conditions.

Installation and Use: Follow all applicable codes, manuals, SDS, and instructions. Improper installation voids warranties.

Water Quality: Treated water performance depends on site conditions. Testing and monitoring are your responsibility.

Regulatory and Compliance: Certifications apply only to products as manufactured, not field modifications.
10. User Conduct and Acceptable Use
You agree not to:
- Use the Site for unlawful purposes.
- Upload or transmit harmful, deceptive, or infringing material.
- Attempt unauthorized access or interfere with the Site.
- Use bots or scrapers without written permission.
- Reverse engineer or copy the Site, except as allowed by law.
- Post sensitive personal data unless requested securely by us.

You agree to defend, indemnify, and hold harmless WaterAnywhere, AMI, and their affiliates and employees from any claims arising from your use of the Site or violation of these Terms.
17. Force Majeure
We are not liable for delays or failures caused by events beyond our control, including natural disasters, war, labor disputes, or supply chain disruptions.
18. Termination
We may suspend or terminate access to the Site at any time. Sections that should survive termination (like IP, disclaimers, indemnity, arbitration) will continue to apply.
19. Dispute Resolution; Arbitration; Class Action Waiver

Informal Resolution: Before filing a claim, you must attempt to resolve it informally by contacting: Legal Department, WaterAnywhere Legal, 2450 Business Park Dr., Vista, CA 92081, USA.

Arbitration Agreement: Disputes will be resolved by binding arbitration administered by JAMS under its rules, before a single arbitrator. The Federal Arbitration Act governs this provision.

Location; Procedure: Hearings may occur by video or in San Diego County, California. California law applies.

Fees: Each party pays its own fees, subject to arbitration rules.

Small Claims; IP: Either party may bring small-claims or IP actions in court.

Class Action Waiver: Disputes will only be conducted on an individual basis. Class or representative actions are not allowed.

Severability: If the waiver is found unenforceable, the affected claim proceeds in court; the rest remain in arbitration.

21. International Users
The Site is controlled from the U.S. and intended primarily for U.S. users. You are responsible for compliance with local laws.
22. Children
The Site is not intended for children under 13. If you are under the age of majority, use the Site only with parental consent.
23. Severability; No Waiver; Assignment
If any provision is invalid, it will be enforced to the maximum extent allowed. No waiver is continuing. We may assign these Terms without notice; you may not without our consent.
24. Entire Agreement; Order of Precedence
These Terms, along with referenced policies and sales documents, form the entire agreement. In case of conflict, a signed agreement with WaterAnywhere prevails.
25. Governing Law and Venue
Except as preempted by federal law, these Terms are governed by California law. Venue for court actions is in San Diego County, California.
Sales Terms Addendum (for B2B customers)

Payment Terms: Payment is due at checkout unless otherwise stated. For approved credit accounts, terms are net 30 days.

Credit Approval: All shipments are subject to credit approval. We may modify credit or require advance payment.

Inspection and Acceptance: Inspect goods upon delivery and notify us of issues within 10 days.

Tooling; Drawings: All tooling, software, and design files remain WaterAnywhere property unless transferred in writing.

Compliance: You are responsible for local codes, permits, and safe access for service.

Field Service: If provided, field service is billed at prevailing rates plus expenses.

Custom Systems: Design changes based on updated site conditions may require change orders.
